Daniel McKeithen, Esq.
Danny McKeithen guides his clients in federal tax planning and controversies. He concentrates on corporate income tax issues connected with both taxable and tax-free mergers and acquisitions, liquidations and spin-offs and other distributions. Danny works extensively with the rules concerning the carryover and utilization of net operating losses and other tax attributes, the special tax rules applicable to bankruptcy and out-of-court workout situations and the complicated issues that arise in transactions among affiliated and related parties. He also works closely with various financial institutions on problems that arise under special provisions of the law applicable to such taxpayers. Danny advises closely held businesses that have elected S corporation status on the intricacies of these rules. He counsels real estate investment trusts (REITs), including clients on the leading edge of the use of these structures in the timber and forest products industry. Danny regularly advises clients dealing with various tax accounting concerns, including situations involving below-market loans, imputed interest and the Tax Code's time value of money provisions.
